Terms of Use

Please read these Terms of Service ("Terms," "Terms of Service") carefully before using the suivi.social website, the SUIVI Browser Extensions, and the SUIVI web dashboard (collectively, the "Service") operated by SUIVI ("us," "we," or "our").

Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use the Service. By accessing or using the Service, you agree to be bound by these Terms.

1. Description of Our Service

SUIVI is a software-as-a-service (SaaS) platform that provides social media analytics, strategic insights, and growth management tools. Our Service is designed to help content creators, businesses, and agencies ("Users," "you") make data-driven decisions to enhance their social media presence. The Service analyzes publicly available data from social media platforms and, with your authorization, data from your own connected accounts to provide performance metrics and strategic recommendations.

3.1 Plans and Pricing

We offer a single subscription plan ("SUIVI Growth") available in three billing durations:

3.2 Free Trial

When you start a subscription, you will not be charged during the trial period stated above for your selected duration. Your payment method is collected and verified at sign-up but is not charged until the trial period ends, unless you cancel before then.

If you do not cancel before the end of your trial period, your payment method will be automatically charged the full subscription price for your selected duration, and your subscription will renew automatically at the end of each billing period unless cancelled.

Each user is entitled to one (1) free trial per billing duration across the lifetime of their account. We reserve the right to deny a free trial, or to require an alternative form of identity or payment verification, if we reasonably suspect abuse of this offer.

3.3 Billing

We use Stripe, Inc. as our payment processor to bill you through a payment method linked to your account. All payments are subject to the terms and conditions of Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis for the duration you selected, until you cancel.

3.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period, and you will retain full access to the Service's paid features until that date.

We do not provide prorated refunds or credits for any unused portion of a subscription period that you cancel.

This general no-refund policy is subject to the statutory exceptions described in Section 3.5 below.

3.5 Your Right to a Refund (Statutory Withdrawal Rights)

Depending on where you are located, you may have a legal right to withdraw from your purchase and receive a refund, separate from and in addition to the free trial described in Section 3.2. This section describes those rights and how they interact with our trial.

(a) European Union and United Kingdom consumers. If you are a consumer located in the European Union or the United Kingdom, you ordinarily have the right to withdraw from an online purchase within fourteen (14) days without giving any reason ("Withdrawal Right").

By starting a paid subscription with us, you are asked, before completing payment, to expressly acknowledge and consent that: (i) you want us to begin providing the Service to you immediately, during the Withdrawal Right period; and (ii) you accordingly lose your Withdrawal Right once the Service has begun, in accordance with applicable EU/UK consumer protection law (including, where applicable, the EU Consumer Rights Directive 2011/83/EU and the UK Consumer Contracts Regulations 2013).

If you do not provide this consent, we may be unable to process your subscription. If you provided this consent and the Service has been fully performed, you will not be entitled to a refund under the Withdrawal Right. If you cancel before the Service has begun (i.e., during your free trial, before any charge occurs), no Withdrawal Right issue arises because you have not been charged.

(b) Brazil consumers. If you are a consumer located in Brazil, Article 49 of the Código de Defesa do Consumidor ("CDC") grants you an unconditional right to withdraw from any purchase made outside of a physical establishment within seven (7) days of the purchase, without giving any reason. Unlike the EU/UK right described above, this right cannot be waived by agreement.

If you are a Brazilian consumer and you request to withdraw from your subscription within seven (7) days of the date your payment method was first charged for that subscription, we will refund the full amount charged, regardless of any consent given at checkout.

(c) All other locations. If you are located outside the European Union, the United Kingdom, and Brazil, refunds are provided at our sole discretion in accordance with Section 3.4, except where a refund is legally required in your jurisdiction, or where we determine, in good faith, that a service failure or billing error on our part justifies a refund.

(d) How to request a refund. To request a refund under this Section 3.5, contact us at the address in Section 12 with your account email and the date of the relevant charge. We will evaluate your request and respond within a reasonable time, and in any event within the time limits required by applicable law.

3.6 Price Changes

We reserve the right to change the prices for our Paid Services. We will provide you with at least thirty (30) days' prior notice of any price increase that affects your existing subscription, by email or through an in-product notice. Price changes will take effect at your next renewal after the notice period.

Nothing in this Section 8 limits or excludes liability that cannot be limited or excluded under applicable law, including statutory consumer rights described in Section 3.5.

9. Indemnification

You agree to defend, indemnify, and hold harmless SUIVI and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses arising from your use of and access to the Service, or from a violation of these Terms.

10. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the Sultanate of Oman, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved through binding arbitration in Muscat, Oman.

This Section 10 does not affect any statutory rights you may have as a consumer under the mandatory laws of your country of residence, including the rights described in Section 3.5, which apply regardless of the governing law stated above.

11. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.
